Corporate and commercial

Advice & Structuring

Fürst & Partners acts as general counsel to a number of corporate clients. We assists them in negotiating, structuring and documenting their more significant corporate and commercial transactions. These clients range from companies controlled by entrepreneurs to large multinational corporate entities. Representation of such clients implies providing legal advice as to all corporate and commercial aspects and often also includes cross-border advice.


Examples of instructions given to the firm are:

  • - advising upon and drafting loan agreements, security documentation, shareholder agreements, joint venture agreements,
       inter creditor agreements, licensing agreements, distribution agreements and commission agreements,
  • - creation of new corporate entities including drafting the constitutional documentation,
  • - advising on intellectual property rights, and
  • - advising on all aspects of employment law including drafting and negotiating employment agreements.

Capital Markets and Securities

Our lawyers have advised on a wide variety of securities offerings, both in Sweden as well as registered public offerings in the United States, private placements and dual listings on domestic and foreign capital markets.  We have particular expertise with respect to Rule 144A Regulation S private placements and have also advised on the availability of exemptions from registration under the Securities Act of 1933 and related rules and regulations.  We frequently are asked by our clients to advise them on strategic issues in connection with public and private offerings of securities in Sweden and on international markets.

Joint Ventures & Licensing

Our Firm represents clients in a variety of joint venture and licensing arrangements, including technology swaps, licensing deals, sales and marketing pacts and international joint ventures. We also have international experience in negotiating and settling IP litigation with emphasis on trademark infringement. We have advised clients on joint ventures and co-operation agreements in territories such as Sweden, Europe, Russia, the United States, Indonesia, Japan and the People´s Republic of China. We have also represented clients in negotiating and drafting license agreements, primarily pharmaceutical agreements, agency and distributorship agreements, (within and outside EU) and executive agreements.


Our expertise includes sales and purchase contracts, quality claims and trade financing as well as project financing in off take agreements. Since more than 30 years we are advising trading companies in all their aspects of commodity trading.

Mergers and acquisitions

Our attorneys are regularly involved in merger and acquisition transactions for midsized and multinational corporations in a variety of industries, both in Sweden and on cross-border deals. We have extensive experience advising clients on divestitures and acquisitions in for example the United States, Hong Kong and countries within European Union. We are experienced in all forms of mergers and acquisitions, including stock, cash, leveraged and management buyouts and asset transactions.


Our involvement has included due diligence investigations, focusing on analysis of the agreements of the target company, including impact of such agreements for the purchaser. We have also extensively advised clients on competition legislation within the European Union as well as other countries. We have represented clients before the monitoring trustee within the EU.
Our ambition is always to conduct these investigations in a cost effective manor by using LPO´s and online collaboration tools.

Public Law

Fürst & Partners fields a top-rate team which advises public sector clients on contentious and non-contentious matters. We primarily receive instructions from Swedish universities and colleges for whom our advice includes administrative and public legal matters relating to such areas as labour law, publicity and secrecy legislation and discrimination issues.


The firm also represents governmental authorities regarding general commercial corporate law, including contract law, proprietary law, procedural law, real estate law and EU law with special attention to publicly financed research and cooperation agreements.


Further, the lawyers of the firm provide continued legal education to governmental authorities on litigation including evidentiary procedural law.


A continuously growing area is Public Procurement under which we assist authorities as well as the private sector in the procurement process, including legal quality assurance and review procedures.

Labour & employment law

Clients, ranging from global businesses to small enterprises, have come to trust and rely on the experience of our dedicated labour and employment team. We track and anticipate the latest legislative proposals in the jurisdictions that are important to the businesses of our clients.


Our team is renowned for being at the forefront of using innovative tools to assist clients to meet their needs and challenges on HR-related matters. With a client-centric approach we cover not only standalone advisory and corporate transactional support but also provide clients with a more bespoke approach which includes providing training and a broad range of value added services.

Banking and finance

We represent financing clients(including domestic and international banks, institutional lenders and multilateral agencies) and borrowers in construction financing,
acquisition financing, project financing and refinancing of energy and other infrastructure projects throughout the world.

Representative transactions include the following:

  • – Negotiated loan agreements with major Swedish and international banks,
       including issuing of legal opinions.
  • – Representing foreign investment companies before the Financial Supervisory
       Authorities in Sweden and Denmark on ownership and management assessments.
  • – Advising clients in regulatory requirements as to corporate finance and
       insurance companies
  • – Involvement in project financing agreements in Russia, Asia and the United States
       of America

Our attorneys also have experience with advising US and European investment banks and hedge funds in connection with the purchase and sale of US and European distressed bank debt (issued under syndicated and bilateral credit facilities), notes and trade claims, including distributions made under the US Bankruptcy Code and out of court restructurings.

Arbitration and litigation

The litigation practice reflects both the extensive experience of the Firm’s attorneys and the nature of its corporate practices.


Our close relationship with our clients and our knowledge of their businesses enable us to react quickly and to respond aggressively when our clients become involved in disputes that may not otherwise be resolved without legal advice and intervention. We actively counsel our clients how to avoid and to minimize the possibility of litigation. We are well experienced in settling disputes in their infancy prior to costly litigation or arbitration.


The objective in all circumstances is to resolve disputes as quickly and as inexpensively as possible. We are, however, well equipped to handle complex litigation matters at all levels of the court systems and before all arbitration forums.


Where appropriate, we will also explore alternative dispute resolution methods such as pre-litigation mediation and negotiation.


We have extensive experience as co-counsel and instructing counsel in connection with litigation and arbitration proceedings in Singapore, the US, Germany and other countries within the European Union. Our attorneys have also served as arbitrators.


Attorneys in the litigation department have extensive experience in litigating virtually every type of commercial issue arising in today’s business environment. In addition, they have significant experience litigating regulatory matters.

Real estate

The Firm’s real estate practice provides specialized real estate expertise in combination with the skills of our attorneys in the corporate and bankruptcy areas, to maximize the real estate opportunities presented to our clients. We have the knowledge, experience and business judgment to assist in the full range of real property matters.
Through our interdisciplinary approach we are able to advise our clients on all aspects of real estate transactions, including acquisitions, development, construction, financing, leasing, ownership, operation, management and dispositions. In the rapidly changing real estate market we are able to provide creative solutions to the myriad issues confronting developers, investors and those owning or operating real estate properties, by delivering high quality legal work that addresses the business objectives of the client.


The Firm advises on insurance law and all regulatory aspects of establishing insurance companies in Sweden.


Our lawyers have experience in the formation, financing, purchase and sale of insurance and reinsurance companies and a variety of other corporate transactions with regulatory implications. We have advised on insurance company demutualizations and bank insurer affiliations, and have represented a variety of financial services industry clients in domestic and offshore insurance securitization transactions. We have also experience in analyzing and structuring fronting and captive arrangements.

Intellectual Property

Fürst & Partners are advising on matters related to intellectual property, including matters primarily related to copyright, trademark, design and know-how.


We are frequently representing closely held companies in their filings for protection of intellectual property rights as well as representing such clients in intellectual property disputes before national and international courts and tribunals.

During the last years we have become involved in a completely new area of advice; cross border legal and tax implications of change of residency between different jurisdictions. This field of law has become even more essential to consider as a new EU regulation on inheritance and succession came into force on 2015.
